1. Agreement to Terms

By accessing or using the AgeGate services ("Services") provided by IQGP Ltd (Company Registration Number: HE 435932), a company registered in Cyprus ("we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms").

If you disagree with any part of these terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and IQGP Ltd under Cyprus law, while recognizing our services are also used in the United Kingdom and globally.

2. Definitions

In these Terms:

• "Browser-Based Processing" means all age verification computations occur locally within your web browser using JavaScript and WebAssembly
• "Partner Sites" means third-party websites or applications that integrate our age verification services
• "Verification Token" means the encrypted result indicating whether age verification was successful, containing no personal information
• "Services" means all age verification services provided by AgeGate, including AgeGate AI, Self Verify, and future Email Age services
• "User" means any individual who undergoes age verification using our Services

3. Description of Services

AgeGate provides browser-based age verification services that:

• Process age estimation entirely within your web browser
• Do not transmit personal data or images to our servers
• Generate verification tokens for Partner Sites
• Enable compliance with age restriction requirements

4. Acceptable Use Policy

When using our Services, you agree not to:

• ✗ Attempt to circumvent or manipulate the age verification process
• ✗ Use the Services for any unlawful purpose or in violation of any laws
• ✗ Reverse engineer, decompile, or disassemble any part of the Services
• ✗ Interfere with or disrupt the Services or servers
• ✗ Use automated systems or software to extract data from the Services
• ✗ Impersonate another person or misrepresent your age

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY CYPRUS AND UK LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• • Implied warranties of merchantability and fitness for a particular purpose
• • Warranties that the Services will be uninterrupted or error-free
• • Warranties regarding the accuracy of age estimation results
• • Warranties that the Services will meet your specific requirements

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CYPRUS AND UK LAW, IN NO EVENT SHALL IQGP LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• • Any indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, data, use, goodwill, or other intangible losses
• • Damages resulting from unauthorized access to or use of our Services
• • Any interruption or cessation of transmission to or from our Services

Our total liability shall not exceed the amount paid by you (if any) for the use of the Services in the twelve months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless IQGP Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

8. Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to:

• • Software, algorithms, and AI models
• • Trademarks, logos, and brand features
• • Website design and content
• • Documentation and technical specifications

remain the exclusive property of IQGP Ltd or our licensors. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Services in accordance with these Terms.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:

• • Breach of these Terms
• • Violation of applicable laws
• • Conduct that we believe is harmful to other users or our business
• • Upon request by law enforcement or government agencies

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

For users in the United Kingdom, nothing in these Terms affects your statutory rights as a consumer under UK law, including the Consumer Rights Act 2015.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Services after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

Additional Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid under Cyprus or UK law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IQGP Ltd regarding the use of the Services and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Language

These Terms are drafted in English. In case of any discrepancy between the English version and any translation, the English version shall prevail.
